1. Introduction
These Messaging Terms ("Messaging Terms") govern your use of the text-messaging features of the Numbr application ("Numbr", the "Service"), operated by App Toro s.r.o., ID no. 06454097, registered seat Viktora Huga 377/4, SmÃchov, 150 00 Prague 5, Czech Republic ("we", "us"). They supplement, and form part of, the Numbr Terms of Use and Privacy Policy. Capitalised terms not defined here have the meaning given in the Terms of Use. If there is a conflict between these Messaging Terms and the Terms of Use regarding messaging, these Messaging Terms prevail for messaging matters.
2. Nature of the Service
Numbr provides individual users with a virtual phone number used to send and receive personal text messages with the user's own contacts. Messages are conversational communications sent by the individual user to recipients with whom the user has an existing personal relationship. Numbr is a platform that enables this personal communication. We do not send marketing, promotional, advertising, or automated bulk messages, and the Service is not intended for application-to-person marketing campaigns.
3. Consent and your responsibilities
By downloading Numbr and activating a virtual number, you consent to send and receive Text Messages through the Service. You are solely responsible for ensuring that:
a) the recipients you message are your own contacts who are willing to receive messages from you;
b) you have any consent required under applicable law to contact a given recipient; and
c) your use of messaging complies with all applicable laws and regulations, including the US Telephone Consumer Protection Act (TCPA) and equivalent laws in the recipient's jurisdiction.
4. Prohibited messaging use
You must not use the Service's messaging features to:
a) send marketing, advertising, promotional, or solicitation messages, including telemarketing or debt-collection communications;
b) send bulk, automated, mass, or unsolicited messages to recipients who have not agreed to receive them;
c) send harassing, threatening, abusive, defamatory, or intimidating messages;
d) send fraudulent, deceptive, or impersonating content, or messages facilitating illegal activity;
e) send content prohibited by carriers or applicable law, including content relating to controlled substances, illegal goods, or other categories restricted by telecommunications providers;
f) include URLs, links, or shortened links where prohibited by the destination country's regulations; or
g) use the Service in any way that could result in the termination of our agreements with telecommunications carriers or harm our standing with telecommunications regulators.
Violation of this section is a material breach of the Terms of Use and may result in immediate suspension or termination of your account and reporting to relevant authorities.
5. Message frequency and cost
Message frequency varies and is determined entirely by your own personal communication. Message and data rates may apply depending on your mobile carrier and plan. You are responsible for all such charges as set out in the Terms of Use.
6. Opt-out and help
Recipients can reply STOP at any time to stop receiving messages from a Numbr number, and HELP for assistance. You can stop using the messaging features at any time by deactivating your number within the app. We honour opt-out requests as required by applicable law and carrier rules.
7. Delivery and availability
We do not guarantee that any message will be delivered, delivered within any particular time, or delivered to any particular destination. Message delivery depends on factors outside our control, including recipient carrier networks, connectivity, regulatory filtering, and country-specific restrictions. Messaging to certain countries or number types may be restricted or unavailable, and the available destinations may change without notice.
8. Regulatory compliance
Messaging through the Service is subject to telecommunications regulations that vary by country and may change. We may apply restrictions, registration requirements, content filtering, or verification requirements, and may suspend or limit messaging features, to comply with applicable regulations or carrier requirements. We are not liable for any restriction or suspension of messaging features resulting from such compliance.
9. Privacy
We do not share, sell, or transfer your phone number, Messaging opt-in or consent information, or the content of your messages to any third parties or affiliates for their marketing or promotional purposes. Message data is shared only with our telecommunications carrier partners solely to deliver your messages, and as otherwise described in our Privacy Policy. Identity and message data may be disclosed to law enforcement or regulatory authorities in response to a lawful request, as set out in the Privacy Policy.
10. Changes
We may update these Messaging Terms from time to time. Material changes will be notified through the app or by other reasonable means before they take effect. Your continued use of the messaging features after changes take effect constitutes acceptance.
